Services Agreement

This Services Agreement ("Agreement") governs your use of the services provided by SC Scales Agency ("we," "us," or "our"). By engaging our services or submitting our contact form, you agree to be bound by these terms.

1. Services

SC Scales Agency provides digital marketing and growth services for HVAC contractors, including but not limited to:

• Google Ads management and optimization
• Local Service Ads (LSA) management
• Landing page design and development
• Review generation campaigns
• Google Business Profile (GBP) optimization
• Performance reporting and strategy consultation

2. Client Responsibilities

Clients agree to:

• Provide accurate business information and timely access to required accounts and platforms
• Review and approve creative materials within agreed timelines
• Maintain active advertising budgets as agreed upon in individual service agreements
• Notify us promptly of any business changes that may affect campaigns

3. Fees and Payment

Service fees are outlined in individual client agreements or proposals. Fees are billed monthly in advance unless otherwise agreed. Advertising spend (e.g. Google Ads budget) is billed separately and directly to the client's advertising account.

4. Performance and Results

While we are committed to delivering strong results, SC Scales Agency does not guarantee specific outcomes. Digital marketing performance is influenced by factors including market conditions, competition, seasonality, and client responsiveness. We will work diligently to optimize campaigns and report transparently on performance.

5. Intellectual Property

Upon full payment, clients own the deliverables created specifically for them (e.g. landing pages, ad creative). SC Scales Agency retains ownership of its proprietary methodologies, templates, tools, and processes.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the engagement, and not to disclose such information to third parties without prior written consent.

7. Termination

Either party may terminate services with 30 days written notice. Fees paid in advance for the current billing period are non-refundable. Outstanding balances are due upon termination.

8. SMS Communications

By opting in on our contact form, you consent to receive SMS messages from SC Scales Agency. These may include appointment reminders, service updates, and promotional communications. You may opt out at any time by replying STOP. Message and data rates may apply. Consent is not a condition of any purchase or service engagement.

We do not sell or share your mobile opt-in data or contact information with third parties or affiliates for marketing or promotional purposes.

9. Limitation of Liability

SC Scales Agency's liability to any client shall not exceed the total fees paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages arising from our services.

10. Governing Law

This Agreement shall be governed by the laws of the State of Maryland. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

11. Changes to This Agreement

We reserve the right to update these terms. We will notify active clients of material changes. Continued use of our services after notice constitutes acceptance of the updated terms.
